WHAT IS RJSC?
Registrar of Joint Stock Companies and Firms (RJSC) is the sole government Company house in Bangladesh having the authority that facilitates the formation/incorporation of companies and other professional organizations in accordance with the laws of Bangladesh. The RJSC is also responsible for keeping track of all ownership related issues as prescribed by the laws in Bangladesh.
The Office of the Registrar of Joint Stock Companies and Firms is headed by the Registrar and has its head office located in Dhaka with three (3) divisional offices being located in Chittagong, Khulnavand Rajshahi.
WHICH ENTITIES RJSC DEALS WITH?
The Registrar of Joint Stock Companies and Firms deals with the following entities:
WHAT ARE THE FUNCTIONS OF RJSC?
The RJSC accords registration of companies and ensures operations of the entities in accordance with applicable rules, namely:
- Companies Act 1994,
- Societies Registration Act 1860 and
- Partnership Act 1932.
In addition to that, the RJSC fulfils the following responsibilities:
- Name Clearance
- Registration
- Return Filings
- Issuance of Certified Copies
- Winding Up
- Struck Off.
The pre-requisite for registration of a new Company (except for Foreign companies and Partnership Firms), Society and Trade Organization is to obtain a name clearance certificate from the RJSC.
The entrepreneurs of the new company (public and private companies, society and trade organization) make an application to the RJSC for name clearance certificate and the RJSC provides the same after having confirmed that the name proposed by the entrepreneurs is not identical or similar to the names of the companies already registered or in the process of being registered.
WHAT IS REGISTRATION?
The entrepreneurs apply to the RJSC for Certificate of Incorporation and the RJSC issues the same, subject to the receipt of the applicable fees and upon satisfaction that the application conforms with the provisions of the applicable act.
WHAT IS RETURN FILINGS?
Registered entities are under an obligation to file returns in prescribed forms and schedules, and the RJSC upon satisfaction approves and preserves such records. There are two types of returns: (a) Annual Return and (b) Return for any change in entity.
WHAT IS ISSUANCE OF CERTIFIED COPIES?
Any person or entity can apply for certified copy of records of an entity. The RJSC issues the certified copy of the historical records of the entity after having received the requisite fees. However, records of profit and loss of an entity is given only to the authorized person of the respective entity.
WHAT IS WINDING UP?
A company having resolved to or the court makes an order or Memorandum & Articles of Association provide so for winding up of the company, submits to RJSC documents of winding up procedures and dissolution.
WHAT IS STRUCK OFF?
RJSC strikes off the name of an entity from the Registrar if it is no longer in operation.
